Terms of Service

1. Who we are
These Terms of Service ("Terms") are a binding agreement between you and GlobalStay ("GlobalStay", "we", "us"), the provider of the GlobalStay hotel guest experience platform and related websites, apps, and services (the "Service").
2. Acceptance
By accessing or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization (such as a hotel), you represent that you have authority to bind that organization. If you do not agree, do not use the Service.
3. The Service
GlobalStay provides software for hotels to manage guest requests, staff tasks, service recovery, daily reporting, and optional add-ons such as the ClearHold™ guest guarantee. We may add, change, or remove features over time.
4. Accounts
You must provide accurate information, keep your credentials confidential, and are responsible for activity under your account. Notify us promptly of any unauthorized use.
5. Acceptable use
You agree not to misuse the Service. You will not:
- use the Service unlawfully or for fraud, spam, or harassment;
- infringe intellectual property or privacy rights;
- upload malware or attempt to probe, scan, or breach security;
- scrape, reverse engineer, resell, or redistribute the Service except as permitted;
- circumvent technical limits or usage allowances of your plan.
6. Intellectual property
GlobalStay and its licensors retain all right, title, and interest in the Service, including all software, documentation, and branding. We grant you a limited, non-exclusive, non-transferable right to use the Service within your chosen plan.
7. Customer content
You retain ownership of data you submit ("Customer Content"). You grant us a limited license to host and process Customer Content solely to provide and improve the Service.
8. Payments, billing, and our payment processor
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation, and refund mechanics are governed by Paddle's Buyer Terms. Subscription plans renew automatically until canceled. Fees are non-refundable except as set out in our Refund Policy.
9. Suspension and termination
We may suspend or terminate access for material breach, non-payment, security or fraud risk, or repeated policy violations. You may stop using the Service at any time. Upon termination, your right to use the Service ends and we may delete Customer Content after a reasonable export window.
9a. ClearHold™ Service
ClearHold™ is an optional guest service operated by LaGrone Global Holdings LLCand offered through the GlobalStay platform.
- Not a financial institution. LaGrone Global Holdings LLC is not a bank, depository institution, insurer, or registered financial advisor. ClearHold™ is a payment guarantee service, not insurance, and does not constitute financial, investment, legal, or tax advice.
- Platform fee. The $24.99 ClearHold™ platform fee is a one-time, non-refundable fee for use of the ClearHold™ service on a specific stay. Once your stay has begun, the fee is non-refundable. Refund requests prior to check-in are handled under our Refund Policy.
- Coverage. When you activate ClearHold™, LaGrone Global Holdings LLC guarantees your hotel's incidental hold up to your coverage limit ($75 for 1 night, $150 for 2 nights, $200 for 3+ nights). Coverage is limited to the published cap for your stay length.
- Settlement with the hotel. If the hotel bills incidentals against your stay, LaGrone Global Holdings LLC pays the hotel directly within 24–48 hours of checkout up to your coverage limit. You then repay LaGrone for any incidental charges incurred, billed in bi-weekly installments to the payment method on file. Charges above your coverage limit remain the guest's responsibility.
- Authorization. By accepting ClearHold™ you authorize LaGrone Financial Services to bill your payment method for the platform fee and any incidental charges incurred during your stay, on the schedule above.
10. Service level and warranties
The Service is provided on an "as is" and "as available" basis. We do not guarantee that the Service will be uninterrupted, error-free, or meet every requirement. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose.
11. Limitation of liability
To the maximum extent permitted by law, our aggregate liability arising out of or relating to the Service will not exceed the fees you paid to us in the 12 months before the claim. We are not liable for indirect, consequential, special, or incidental damages, including loss of profits, data, or goodwill. Nothing in these Terms excludes liability for fraud, death, or personal injury where it cannot be excluded by law.
12. Indemnity
You will indemnify us against third-party claims arising from your Customer Content, your unlawful use of the Service, or your breach of these Terms.
13. Governing law
These Terms are governed by the laws of the State of Texas, United States, excluding its conflict of laws rules. The courts located in Texas have exclusive jurisdiction over disputes, except where applicable law gives you a non-waivable right to bring a claim in another forum.
14. Changes
We may update these Terms from time to time. Material changes will be notified through the Service or by email. Continued use after changes take effect constitutes acceptance.
